While leveraging the strengths of CAT’s management team to develop the business plan, identify key product development requirements and raise capital, Aestis has assembled a seasoned management team with extensive experience and a successful track record. The Company will leverage certain finance and administrative resources of CAT until such time as it appropriate to bring those functions in-house.

Larry Kutt, Chairman, age 57

Larry Kutt is the Founder and Chief Executive Officer of CAT and previously founded Kutt Inc., an executive search firm that was sold in 1992 after growing to be the second largest in market share in the printing industry in the U.S. He is a co-founder of the School for Entrepreneurship at Metro State in Denver where he served on the board and faculty. Mr. Kutt was nominated for Inc.’s Entrepreneur of the Year award in 1989, and was a semi-finalist for Ernst and Young’s Entrepreneur of the Year award in 2005. Mr. Kutt has a B.S. from Indiana University.

Dede Willis, Chief Executive Officer, age 44

Dede Willis serves as CAT’s Vice President of Operations. Ms. Willis has over 20 years of management and operating experience, including several executive positions in Europe and the U.S. within the life sciences industry. A member of senior management teams in life sciences companies for most of her career, Ms. Willis has an outstanding track record of successfully streamlining operations and maximizing productivity in both established businesses and start-ups. After a successful career at Hoechst, where she finished her tenure as President and CEO of a $100 million subsidiary, she joined Proligo LLC, a start up biotech company as Vice President of Operations and Managing Director of Proligo Biochemie GmbH, a German subsidiary and now a global life science subsidiary of Degussa AG. At Proligo, Ms. Willis had full P&L responsibility for all corporate operations, including finance and administration, global manufacturing and supply chain management, and at various times, sales and marketing. Ms. Willis has a B.S. in Chemical Engineering from Clemson University and an M.B.A. from the University of Houston.

Bill Reid, Vice President of Research and Development, age 39

Bill Reid is a shared resource with CAT, where he also serves as Director of Product Development. Mr. Reid has been involved in the medical industry for over 10 years, with experience ranging from blood analyzers and RF ablation surgical devices to incubators and environmental control modules. Mr. Reid has been involved in the research, design or manufacture of over 15 different medical devices. Prior to joining CAT, he served as the Director of Engineering and Development for MedEfficiency in Westminster, Colorado. Mr. Reid holds a M.S. in Aerospace Engineering from the University of Cincinnati and a B.S. in Mechanical Engineering from Rose-Hulman Institute of Technology.

In addition, a Director or Vice President of Clinical Development will be recruited by Aestis following commitment of funds. Additional team members to be hired include two medical device engineers, a software engineer, a document control specialist, and a purchasing manager. Candidates have already been identified for the two medical device engineer positions.
